Terms of Service

1. Eligibility and Authority

4. Customer Data

You retain ownership of Customer Data you submit to the Service. You grant Atlacis the rights necessary to host, process, transmit, and display Customer Data solely for the purpose of providing the Service.

You are responsible for ensuring that you have all rights and permissions necessary to provide Customer Data to Atlacis.

5. Fees and Payment

Certain features of the Service may require payment. You agree to pay all applicable fees in accordance with the pricing and payment terms presented to you. Fees are non-refundable except as required by law or expressly stated in a written agreement.

6. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect confidential information using reasonable care and will use it only as necessary to perform under these Terms.

7. Intellectual Property

Atlacis and its licensors retain all right, title, and interest in and to the Service, including all software, documentation, trademarks, and related intellectual property. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

8. Third-Party Services

The Service may integrate with third-party services. Atlacis is not responsible for the availability, accuracy, or practices of third-party services, and your use of them is governed by their own terms and policies.

9. Suspension and Termination

Atlacis may suspend or terminate access to the Service if you violate these Terms, create risk for the Service or other users, fail to pay applicable fees, or where required by law. Upon termination, your right to use the Service ends immediately.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLACIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLACIS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. ATLACIS’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ATLACIS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Atlacis from claims, liabilities, damages, and expenses arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will be resolved in the state or federal courts located in Miami-Dade County, Florida.

14. Changes to These Terms

Atlacis may update these Terms from time to time. If we make material changes, we will provide notice before the updated Terms take effect. Continued use of the Service after the effective date constitutes acceptance.
